# Price organic search risk into an M&A deal before you sign.

A company that earns half or more of its revenue from organic search carries concentrated risk. One algorithm update or one failed migration can remove much of that value. Google's "Medic" core update in August 2018 is the standard warning. In a [Search Engine Land case study](https://searchengineland.com/case-study-recovering-from-googles-medic-update-309597), one physician review site lost about 50 percent of its organic traffic on average. A buyer who closed on a site like that shortly before the update paid for traffic that then disappeared.

SEO due diligence tests whether organic traffic will last, finds hidden penalties and technical risks, and estimates the integration cost. It prevents overpayment for traffic built on black-hat tactics. It also shows where the acquired asset can grow.

## Know how SEO changes the valuation

Website brokers and buyers score diversified organic traffic higher than dependence on paid ads. Profit that rests on questionable SEO practices deserves a lower multiple than profit from sustainable organic channels. Set that gap in your own model from the audit findings.

Undetected penalties destroy value. A site under a manual action or algorithmic suppression may show a decline that the seller calls "market conditions". After close, recovery takes months, and the result is uncertain. Due diligence finds the problem early, so you can renegotiate or walk away.

Integration cost varies widely with the technical base. A WordPress site that moves to your stack costs far less to integrate. Two Next.js sites with conflicting custom implementations cost far more. Know the technical debt before close so the integration budget is accurate.

Attribution accuracy decides whether the organic channel delivers what the seller claims. A seller may credit returning direct visitors to organic search. Another may use last-touch attribution that undercounts organic search. Validate the attribution method so you pay for real organic value. ## Screen the target before the letter of intent

A letter of intent (LOI) needs a fast SEO screen. It tells you whether deeper diligence is worth the cost, and it informs the first valuation. The screen takes four to six hours.

Ask for access to these accounts:

- Google Analytics or an equivalent, with at least 24 months of organic traffic;
- Google Search Console, for the available 16 months of query performance and current manual actions, plus any pre-existing exported archive;
- the target's Ahrefs or Semrush account, if it has one, for the full keyword portfolio.

Request 24 months only when the seller retained an archive earlier. A new export cannot restore expired records. Use the six-part evidence audit to verify the data after the screen.

### Red flags

These percentages are illustrative analyst screening assumptions, not measured Google penalty triggers. A manual action is a separate, documented account finding. Any of these signals calls for more scrutiny:

- an unexplained traffic drop of more than 30 percent in the prior 12 months;
- a manual action in Search Console;
- exact-match anchor text above 15 percent of the link profile;
- more than 40 percent of traffic from one keyword or one page;
- a declining traffic trend while the seller claims growth;
- a refusal to give analytics access before the LOI.

### Green flags

The counts and percentages below are illustrative buyer criteria. Confirm the underlying traffic and commercial relevance before they raise confidence:

- traffic spread across 100 or more keywords;
- stable or steadily growing traffic for 24 months or more;
- editorial links from authoritative publications;
- strong branded search, at 20 percent or more of organic traffic;
- several content types and page templates that each bring traffic.

### Preliminary metrics

Calculate four numbers in the screen:

| Metric | Calculation |
|---|---|
| Organic growth rate | Growth over the verified available period; use 24 months only with retained history |
| Concentration risk | Share of traffic from the top keyword, the top 10 keywords, and the top page |
| Link quality ratio | Referring domains with Domain Rating 40 or more, divided by all referring domains |
| Content velocity | Publication frequency; steady monthly output means a sustainable program |

## Estimate the technical remediation cost

After the LOI, run a full technical assessment. Crawl the site with Screaming Frog or Sitebulb. Find crawl errors (404, 500, timeouts). Map the architecture and URL structure.

Check canonical tags and redirect chains. Verify the mobile layout. Measure page speed and Core Web Vitals. Extract the structured data.

These findings affect the valuation:

| Finding | Why it matters |
|---|---|
| Orphaned pages that get traffic but have no internal links | The architecture has problems |
| Redirect chains longer than 3 hops | Crawl waste and a poor migration history |
| Duplicate content across URLs with no canonical tags | Rankings split across copies |
| JavaScript rendering with no server-side rendering | Some content may not be indexed |
| Fewer than half of pages pass Core Web Vitals | Performance debt |

Estimate what each fix costs. In the source's March 2026 estimates, adding server-side rendering to a JavaScript site carried the highest cost range. Architecture restructuring came next. General technical debt, such as speed, mobile, and crawl errors, came after that. International SEO work was estimated per market, so its total grows with each country.

Assess the CMS and technology stack as well. Record these items:

- the platform: WordPress, Shopify, custom, or headless;
- how current its version is;
- the quality of plugins and third-party dependencies;
- how well hosting scales;
- the development practice: version control, tests, and deployment.

 An old platform brings security risk and upgrade cost. A modern, maintainable stack justifies a higher multiple than one that needs a migration soon.

## Measure the risk in the link profile

Link quality decides whether traffic survives algorithm updates. Natural editorial links hold up. Manipulated links do not.

Export the full profile from Ahrefs, Majestic, or the target's tool. Record these items:

- total referring domains and links;
- the Domain Rating or Trust Flow distribution;
- the anchor text distribution;
- link types: editorial, directory, forum, and comment;
- new links per month and lost links per month.

Review these patterns as leads for a linking-page audit. The 15-percent anchor-text rule is an illustrative analyst screen, not proof of manipulation or a Google penalty trigger:

- private blog networks, seen as groups of related domains that link together;
- exact-match anchor text above 15 percent;
- sudden spikes in new links, which suggest purchased campaigns;
- a high share of low-quality directory links;
- links from gambling, pharmaceutical, or adult sites, which often come from hacked sites;
- sitewide footer or sidebar links, which are low value and often paid.

A site with a manipulative link profile carries a real chance of an algorithmic hit or a manual action. Manual action recovery takes months of cleanup and a reconsideration request. Recovery from algorithmic suppression is uncertain. It can need a full disavow and a rebuild of the brand's link profile.

An analyst might set an illustrative target of 80 percent branded, bare-URL, or natural-phrase anchors. That percentage does not establish a healthy profile. Check editorial context, relevance, ownership, paid placement, and acquisition history. Steady link growth alone does not prove the links are earned.

Calculate a screening ratio: referring domains with an audited editorial link and Domain Rating 40 or more, divided by all referring domains. A buyer might investigate ratios below 30 percent and prefer ratios above 50 percent. These are illustrative screening assumptions. Domain Rating is a third-party score, and neither band measures Google penalty risk.

## Assess the content and the team behind it

Review the top 20 pages by traffic. Test originality with Copyscape. Assess depth, freshness, and whether each page satisfies the searcher's intent. Review E-E-A-T signals: author credentials, citations, and demonstrated expertise.

Content risks include:

- thin affiliate roundups with no original insight;
- scraped or spun text;
- pages with no update in two years;
- keyword stuffing;
- doorway pages built only to rank.

A site whose traffic rests on low-quality content can lose a large share of it in one core update. Put that risk into the valuation, or make content improvement a condition of the deal.

Assess the content operation too. Record articles per month, team structure, headcount, and cost per article. Record the editorial maturity: quality standards and review steps. Find out who produces the current output. If freelancers or the seller produce it, you must replace that capacity after close. Budget for that team in the deal model.

## Check whether competitors can take the traffic

Run a keyword gap analysis against the top competitors with the Ahrefs Content Gap tool. Find the share of keywords where the target ranks on page one. For an illustrative screen, flag coverage above 50 percent or below 30 percent for comparison. Those bands do not measure Google quality or penalty risk. Check the difficulty of the keywords it ranks for, since high-difficulty rankings show strength. Check whether competitors are moving up on its top keywords.

Estimate the target's share of category organic traffic. Add the estimated traffic of all competitors and calculate the target's percentage. Track whether that share grows, holds, or falls, and watch for funded startups that enter the space. A buyer might test a premium scenario at 30 percent category share and a downside scenario below 10 percent. These are illustrative valuation assumptions, not market-share rules. Analyze SERP features. Find the share of target keywords that show featured snippets, People Also Ask, or other features. Calculate the target's win rate: features it holds, divided by feature opportunities. A competitor that holds most features has an advantage. In [Ahrefs' May 2017 study of 2 million featured snippets](https://ahrefs.com/blog/featured-snippets-study/), a top result with no snippet got about 26 percent of clicks. ## Rank the integration risk

Post-acquisition migration is the largest SEO risk. A poor migration can remove a large share of organic traffic for good.

| Risk tier | Planning allowance for loss | Scenarios |
|---|---|---|
| Low | 5 to 10 percent | The site runs independently; subdomain or subfolder integration without URL changes; a rebadge without URL changes |
| Medium | 10 to 25 percent | Domain consolidation with correct 301 redirects; URL changes that preserve the old patterns; a CMS migration to an equivalent platform |
| High | 25 to 50 percent | Full URL restructuring; a move to a less capable CMS; content consolidation or removal; a redesign that hurts speed or mobile use |

The loss column holds planning allowances for a stress test of the deal model. They are not measured rates. Replace them with your auditor's estimate for the specific site.

Plan each migration around five factors:

- Avoid holiday seasons, which amplify risk.
- Budget QA time for the redirect map; 10,000 or more URLs need extensive testing.
- Confirm that the new platform matches the current one's capabilities.
- Put an experienced SEO in charge.
- Keep a rollback path in case traffic collapses.

## Write the deal terms

### Request these documents

Ask for:

- Google Analytics access with available historical data, and Search Console access for its available 16 months plus any pre-existing archive;
- a link export from Ahrefs or Majestic;
- keyword ranking reports;
- documentation of the traffic attribution method;
- content production costs and workflows;
- technical documentation for hosting, CMS, and architecture;
- the history of penalties and algorithm impacts;
- previous SEO audit reports, if any exist.

A seller who refuses analytics access before the LOI raises a major red flag.

### Value organic traffic against paid traffic

Organic traffic costs less at the margin than paid traffic and keeps working when spend stops. That supports a higher value per visit. Adjust the premium for risk. Sustainable organic traffic has diverse keywords, editorial links, and a strong brand, and earns the full premium. Risky organic traffic has concentrated keywords and manipulated links, and earns a smaller premium or none. Compare customer lifetime value and retention by acquisition channel from the target's own data.

### Decide what a penalty means for the deal

A manual action is recoverable. Negotiate a price reduction against an itemized recovery plan. A three-to-six-month allowance is an illustrative buyer assumption, not a measured penalty-recovery timeline or a Google commitment. Budget for the unresolved downside if review or recovery takes longer. Algorithmic suppression is harder to judge. If the site clearly broke Google's spam policies, model a large permanent loss in the valuation. A clean site hit by an update may recover through quality work. Each case needs its own analysis by an experienced SEO professional.

### Protect against a post-close traffic drop

Tie part of the price to traffic with an earnout. For example, pay 30 percent of the purchase price over 24 months. Make each payment depend on traffic within 20 percent of the baseline. Set service-level terms for knowledge transfer from the seller. Keep the seller's analytics history accessible for 60 to 90 days after close. Budget an immediate technical audit after close. Add a price adjustment if traffic falls more than 20 percent in the first six months because of undisclosed risks.

### Staff the diligence

At minimum, retain an experienced technical SEO consultant for an audit of 40 hours or more. Use an outside consultant if your in-house team lacks enterprise experience. For larger deals, retain a specialist M&A SEO advisory firm for a comprehensive assessment. Keep an SEO voice in integration planning through close and the months after it.
