# Employer 8-K timelines: separate the event, report, and filing dates in an adviser brief

Before an adviser meets an existing client, an employer filing can supply a document worth reading. The preparation job is narrow: identify what the company reported, preserve the dates, and list what the filing does not answer.

Start with an employer already approved for the office's research watchlist. Prepare a timeline from the filing and its exhibits. Keep the client's private circumstances outside the public-source collection. The resulting note supports the adviser's reading; it supplies no instruction to trade, change an account, or contact an employee.

The [financial-advisor research overview](/intelligence/financial-advisors) describes the employer-event watch. This guide explains how to read its dates before a meeting. For office paperwork preparation, use the separate [financial-advisor practice guide](/for/financial-advisors).

## Match the employer before building the timeline

Use the approved watchlist entry as the starting point. Compare its legal employer name and verified issuer relationship with the company record. An employee's familiar brand name should remain an alias until the office confirms the issuer it means.

The SEC assigns a Central Index Key, or CIK, to each filer. Its [EDGAR search](https://www.sec.gov/search-filings) accepts a company name, ticker, or CIK. Its [data-access guidance](https://www.sec.gov/search-filings/edgar-search-assistance/accessing-edgar-data) explains that CIKs remain unique to the filer.

For this worksheet, record the approved employer label, issuer name, CIK, and identity-review date. Keep the evidence for the employer-to-issuer relationship beside those fields. The person preparing the brief should be able to explain that relationship without relying on a name resemblance.

If the approved record identifies a subsidiary but the filing identifies a parent, stop the match for review. Do not widen the watchlist because the parent seems plausible. Record “issuer relationship unconfirmed” and name the evidence the adviser needs to resolve it.

This identity check comes before summarizing the event. A careful timeline for the wrong company still answers the wrong question. Retain a rejected match so the next review does not repeat it.

## Separate the cover-page date from other event dates

The Form 8-K cover uses one label: “Date of Report (Date of earliest event reported).” These are not two independent cover-page dates. Individual item text may supply further dates. See [Form 8-K, SEC 873 (02-25), cover and General Instruction D](https://www.sec.gov/files/form8-k.pdf).

Give the cover-page value its full meaning in the brief. Then add a separate row for each date needed to understand the relevant item. Preserve the company's wording about a decision, announcement, completion, or expected future step.

For example, label a future date “expected completion date stated in the item” when that is what the source says. Do not shorten it to “completion.” Keep uncertainty words attached to their dates, even when the shorter label fits better in a calendar.

When several items concern different events, keep several rows. Do not apply the earliest cover-page date to every event in the report. Ask which passage establishes each date and which event the passage describes.

Do not calculate a household effective date from the cover page. Leave that question open until the qualified adviser has the appropriate, authorized evidence. A blank value with a clear question is preferable to a precise date without support.

## Preserve filing and acceptance metadata as separate fields

The SEC submissions data provides fields including `filingDate`, `reportDate`, `acceptanceDateTime`, `form`, `accessionNumber`, `items`, and `primaryDocument`. The [API documentation](https://www.sec.gov/search-filings/edgar-application-programming-interfaces) describes the submissions source. These field names were checked in [a live issuer submissions response](https://data.sec.gov/submissions/CIK0000320193.json) on October 28, 2026, for schema verification only.

Keep the original metadata value alongside its display label. Preserve any time-zone information supplied with a timestamp. If you add an office-local display, label the conversion and retain the original value for review.

Treat `reportDate` as a value to compare with the document, rather than an excuse to skip its cover. If the values disagree, retain both and mark the discrepancy. Do not silently replace a value that another staff member may already have used.

Add an office observation time separately. “First seen by our office” describes your collection, not the employer's event. A delayed review should remain visible as a delayed review, without changing the source timeline.

Use the accession number and primary-document reference to keep the metadata attached to the correct filing. Re-sorting a spreadsheet by filing date must not detach its event passage or exhibit reference.

## Read the item and exhibit before writing the summary

Form 8-K reports use applicable item numbers and captions. Item 9.01 addresses financial statements and exhibits. Open the relevant item and the exhibit it references before describing the event. The controlling source is [Form 8-K, General Instruction D and Item 9.01](https://www.sec.gov/files/form8-k.pdf).

For each proposed sentence, record a document reference and a useful location: item number, paragraph, exhibit number, or heading. A link to a company search page is a discovery link. It does not identify the passage that supports your sentence.

Keep a distinction between “the company reports” and “the office has confirmed.” The first describes the public document. The second needs the office's own dated confirmation. Do not upgrade the wording because a summary has passed through several drafts.

When an exhibit contains a date absent from the main item, identify the exhibit as its source. If the two documents appear inconsistent, preserve the disagreement. Ask the reviewer to decide whether more reading is needed before the note enters meeting preparation.

## Work through a synthetic timeline

The following exercise uses a fictional employer, Example Employer A. Every date and document detail is invented for the exercise. The source references describe where a real reviewer would attach evidence; they are not links to actual filings.

Assume the approved watchlist already contains a verified issuer match. The fictional report discusses an agreement signed on October 12. A fictional exhibit dated October 13 describes an expected December 1 completion. The filing metadata shows October 14, while the office first reviews it on October 15.

Table: Synthetic employer filing timeline

| Field | Synthetic value | Evidence to attach in a real brief |
| --- | --- | --- |
| Cover-page date of report and earliest event | October 12, 2026 | Primary document, cover |
| Agreement date stated in the item | October 12, 2026 | Relevant item, agreement paragraph |
| Exhibit announcement date | October 13, 2026 | Referenced exhibit, dated heading |
| Filing date | October 14, 2026 | Metadata for this accession |
| Acceptance timestamp | Original October 14 timestamp retained | Filing detail or submissions value |
| Office review date | October 15, 2026 | Internal review entry |
| Expected completion | December 1, 2026, subject to stated conditions | Exhibit, expected-completion passage |
| Household effect date | Unknown | No supporting household evidence in this exercise |

The brief should preserve the conditional completion wording. It should also identify which item and exhibit were read. Nothing in this invented chronology establishes a particular employee's compensation, benefits, role, or account position.

A suitable synthetic summary reads: “The company reports an agreement dated October 12. The exhibit describes an expected December 1 completion, subject to conditions. Filing metadata records October 14. Household implications remain unconfirmed.”

This summary gives the adviser a reading path and an evidence limit. It does not infer a financial action from the sequence of dates. The meeting questions remain separate from the reported company facts.

## Reject the unsupported employee-date shortcut

Consider a rejected synthetic draft: “Employees are affected October 14 because the 8-K was filed that day.” The worksheet contains no employee-effective-date evidence. Reject the sentence rather than adding a vague disclaimer after it.

Replace it with an explicit unresolved question: “Does the approved client information contain a relevant employer notice, and what date does that notice establish?” Keep any authorized private document in the firm's protected system. Do not send a client name or account detail to a public filing endpoint.

Also reject a timeline that marks December 1 as completed merely because the date has passed. Reopen the sources needed for a fresh review. The earlier expected date remains an earlier expectation until further evidence supports different wording.

If the brief cannot resolve an identity or source conflict before the meeting, keep it in a held state. Give the adviser the available references and the unresolved issue. Avoid a polished summary that conceals the missing basis.

## Use a review worksheet that keeps questions visible

The following worksheet is an office design recommendation. It is not an SEC filing requirement. Complete one worksheet per reviewed filing, with additional event rows where needed.

Table: Employer timeline review worksheet

| Review field | What the preparer records | What the reviewer checks |
| --- | --- | --- |
| Approved identity | Employer label, issuer, CIK, match evidence | Same approved issuer throughout |
| Filing reference | Form, accession, primary-document link | Correct document opened |
| Cover value | Full date label and reported value | Compared with `reportDate` |
| Event evidence | Date, event description, item passage | Source wording preserved |
| Exhibit evidence | Number, document link, dated passage | Relevant exhibit read |
| Filing metadata | Filing date and original acceptance value | No employee-date substitution |
| Office observation | Retrieval and review times | Kept separate from source dates |
| Unknowns | Missing dates and specific questions | No implied household conclusion |
| Approval | Reviewer, review date, accepted version | Intended internal use recorded |

Ask the reviewer to test the summary backwards. Start with each sentence, find its supporting passage, and compare its date label. Then inspect the questions for conclusions that slipped into their wording.

“Which employer notice should we review?” is an evidence question. “How should the client respond to the benefit reduction?” assumes a reduction. Remove the assumption unless authorized evidence supports it and the adviser has framed the question.

## Retain the reading history for the next meeting

Save the accepted note with its source references, retrieval date, reviewer, and unresolved questions. Keep prior wording when a later review changes the summary. The [business memory guide](/articles/business-memory-for-ai-agents-guide) explains why those checked records belong with the firm's instructions.

If an amended filing appears, use the [amended employer 8-K review](/articles/amended-employer-8k-item-exhibit-adviser-summary) before replacing the note. Compare the changed text and exhibits rather than assuming the whole timeline disappeared.

For any automated public reads, follow the SEC's [fair-access guidance](https://www.sec.gov/search-filings/edgar-search-assistance/accessing-edgar-data). It specifies a declared user agent, moderated requests, and a current maximum of ten requests per second. A meeting-preparation worksheet does not require a broad crawl.

Scale With Search can scope a filing-reading function around an approved watchlist, source-linked notes, unresolved questions, and named review. Define those outputs and acceptance checks before building the collection.
