# Amended employer 8-Ks: read the changed item before replacing an adviser summary

An advisory office preparing an existing client's meeting needs to know which employer facts its current brief can support. When an 8-K/A appears, begin with the amendment's stated purpose and changed text. Retain the original brief while the reviewer checks the relationship.

Use this process only for an employer already on the firm's approved research watchlist. The deliverable is an internal reading note with source references and unanswered questions. It carries no investment recommendation, employee-impact prediction, or automatic client message.

The [financial-advisor intelligence overview](/intelligence/financial-advisors) places employer filings inside a bounded research function. The [financial-advisor practice page](/for/financial-advisors) addresses separate office preparation tasks. This guide handles one document-version problem within that research.

## Establish which documents you are comparing

Begin with the approved issuer identity and CIK. Open the candidate amendment and record its form type, accession number, primary document, filing date, and report date. Record the same fields for the earlier report your office believes it amends.

The SEC's [submissions API documentation](https://www.sec.gov/search-filings/edgar-application-programming-interfaces) describes company filing histories. A [live submissions response](https://data.sec.gov/submissions/CIK0000320193.json), checked for schema on October 28, 2026, includes `form`, `accessionNumber`, `primaryDocument`, `filingDate`, `reportDate`, `items`, and `acceptanceDateTime`.

Those field names help identify candidate documents. In the checked response, the recent-filing field list does not include an explicit original-filing accession link. Do not invent a `parentAccession` value or treat adjacency in the response as proof of the relationship.

Instead, read any explicit reference in the amendment to an earlier filing. Preserve its wording and identify the date, form, or accession it names. Open the referenced source and check whether the particulars agree with the document in your office's record.

If the relationship remains unresolved, label it “candidate earlier report, relationship not confirmed.” Keep both document references and explain what is missing. Do not replace the earlier summary merely because the two filings share a CIK and similar dates.

The [EDGAR search tools](https://www.sec.gov/search-filings) provide company and full-text search paths when a reference needs further reading. Use those tools to locate the document, then cite the document itself in the accepted note.

## Read the amendment purpose before interpreting its effect

Copy a short purpose note into your comparison worksheet, with a source location. Use the document's explanation to define the comparison. Read the changed item and any newly referenced exhibit before deciding which summary sentences need revision.

An amendment can supply information contemplated by the form's instructions. For example, [Form 8-K, SEC 873 (02-25), Item 9.01(a)(3)](https://www.sec.gov/files/form8-k.pdf) permits certain required acquisition financial statements to arrive by amendment within the specified period. Read the item's conditions before applying that provision to any real filing.

That example gives a reason to inspect the document. It does not establish the purpose of the filing in your queue. Your note should state the actual purpose found there, rather than importing the example's explanation.

Do not infer fraud, a restatement, reversal of an event, or financial harm from the `/A` suffix. Require specific source text for any proposed characterization. If the evidence supports only “additional exhibit supplied,” keep that narrower description.

Likewise, avoid a universal “everything else is unchanged” sentence. Record the scope you compared. If the filing itself states that other disclosure remains unchanged, attribute that statement to the filing and preserve the relevant passage.

## Compare summary sentences with item and exhibit evidence

Start with the last accepted office summary. Break it into statements that can be checked separately. Beside each statement, record its earlier source passage, amendment passage, and proposed disposition.

Useful dispositions include retain, revise, remove, and unresolved. Explain the reason in ordinary language. “New exhibit supports a more specific description” is more useful than “updated for amendment.” The reviewer needs to understand what changed in the office's note.

Keep event changes separate from document additions. A new exhibit reference requires reading the exhibit. It does not, by itself, justify changing an event date. Similarly, an amended description may require a wording change without supporting any conclusion about an employee.

The form's [General Instruction B.3](https://www.sec.gov/files/form8-k.pdf) allows certain information about previously reported developments to be incorporated by reference. Follow the references needed for the sentence under review. An empty comparison cell should remain unresolved when the necessary earlier passage is unavailable.

If the amendment contradicts your earlier paraphrase, correct the paraphrase with a reason. Preserve the prior version so another staff member can see which note was used before the correction. Do not describe the office's own drafting error as a changed employer event.

## Work through a synthetic exhibit addition

This example is entirely fictional. Example Employer B, its filings, dates, document labels, and office notes are invented. “Original O” and “Amendment A” are worksheet labels, not real SEC accessions.

Assume the office verified that Original O reported a transaction completed on September 10. Its accepted note states that completion date and records that supporting financial statements were not included in the material reviewed. Amendment A explicitly identifies Original O and says its purpose is to add an exhibit.

For this exercise, assume a reviewer reads the new exhibit and confirms that the amendment does not state a different completion date. The office may revise its document-availability sentence while retaining the source-supported completion sentence. It should describe the review's scope rather than announce that every fact remains unchanged.

Table: Synthetic comparison of an original report and an amendment

| Question | Original O | Amendment A | Proposed office disposition |
| --- | --- | --- | --- |
| Which issuer? | Approved fictional issuer | Same verified fictional issuer | Identity match retained |
| Which earlier filing is referenced? | Original source | Explicit reference to Original O | Relationship confirmed for exercise |
| What completion date is stated? | September 10, 2026 | No different completion date found in reviewed passages | Retain original attributed date |
| What document is available? | Supporting exhibit absent from reviewed material | New exhibit added and read | Revise availability sentence |
| What employee consequence is established? | None in exercise | None in exercise | Keep household implications unknown |

The synthetic revised note could read: “The earlier report states completion on September 10. The amendment identifies that report and adds the reviewed exhibit. This review found no different completion date in the compared passages. Household implications remain unconfirmed.”

Attach the actual references before using that structure for a real brief. In this exercise there are no real filing links to attach. Do not copy fictional dates or document descriptions into an employer record.

## Hold an unresolved relationship instead of guessing

Consider a second synthetic example. The queue contains two earlier 8-Ks from the same fictional issuer, with similar cover dates. The candidate amendment refers to a prior report, but the preparer cannot identify which one from the material available.

Reject the draft label “amends the immediately preceding filing.” The queue order supplies no textual basis for that claim. Hold the proposed revision and list the two candidates separately, with their document references.

The useful output is a specific question: “Which earlier report does the amendment identify, and where is that relationship established?” Record the search paths already inspected so the reviewer does not repeat an unsuccessful lookup without new evidence.

Also reject “the employer withdrew the transaction” when the only basis is the amendment suffix. Replace that sentence with a source-reading task. If the document does contain a withdrawal statement, identify its exact subject and supporting passage before drafting new wording.

A held summary should remain visibly held. Do not place unconfirmed wording in the approved meeting-note field and rely on a comment elsewhere to warn the adviser. Keep the last accepted version available with its review date and known limits.

## Use a worksheet with a sentence-level change record

This worksheet is a recommended office review design. It is not an SEC submission form or a requirement imposed on advisory practices. Adapt the fields to the firm's existing research and approval process.

Table: Amended employer filing summary worksheet

| Field | Evidence or decision to preserve |
| --- | --- |
| Research purpose | Approved employer watchlist and internal meeting-preparation use |
| Identity | Issuer name, CIK, and checked employer relationship |
| Original source | Form, accession, filing date, primary document, relevant items |
| Amendment source | Form, accession, filing date, primary document, relevant items |
| Relationship evidence | Amendment passage identifying the earlier report, or unresolved status |
| Stated purpose | Short attributed explanation and document location |
| Exhibit comparison | Earlier and new exhibit references, read status, specific additions |
| Retained wording | Prior accepted sentence and its continuing source basis |
| Revised wording | Proposed sentence, changed evidence, and reason |
| Unresolved questions | Missing references, conflicting passages, and next reading task |
| Review decision | Reviewer, review date, accepted version, and permitted internal use |

Give each changed sentence its own entry when the revision is complex. A single “updated” status hides whether the office corrected a date, added a source, or removed an unsupported conclusion. Keep those reasons visible for the next meeting.

Before approval, ask a second reading question: can the adviser reconstruct the change using the saved references alone? If the answer depends on an unsaved conversation, add the missing evidence or keep the revision held.

Check retained wording as well as changed wording. Retention is a decision about continued source support. It should not happen automatically because a text comparison found no identical phrase in the amendment.

## Keep employer facts separate from meeting questions

An accepted document comparison can still leave every household question unanswered. Keep public company statements in one part of the note. Put adviser questions and authorized private-source requests in another part with clear labels.

For example, “Which approved employer document should the adviser review next?” asks for evidence. “How much compensation will the client lose?” assumes an outcome the comparison has not established. Reframe questions that import a consequence from the filing label.

Do not attach private client identifiers to SEC requests. Maintain any approved employer-to-client relationship inside the firm's protected records. A public issuer filing and a private meeting file serve different purposes, even when an adviser reads both.

For date changes, use the [employer 8-K timeline guide](/articles/employer-8k-event-report-filing-date-adviser-brief). Preserve event, report, filing, acceptance, and office-review values separately when assessing the revised note.

## Preserve the accepted revision and its limits

Save the original source, amendment source, previous note, accepted revision, and reviewer decision together. Include the retrieval date and any unread exhibits. The [business memory guide](/articles/business-memory-for-ai-agents-guide) explains the value of keeping checked records and corrections under the firm's control.

If an earlier source becomes unavailable, retain the reference and state the access failure. Do not treat a missing read as confirmation of your previous paraphrase. The SEC's [access guidance](https://www.sec.gov/search-filings/edgar-search-assistance/accessing-edgar-data) discusses post-acceptance corrections and removals; a fresh source check belongs in each new review.

Scale With Search can scope a document-comparison function with evidence links, unresolved matches, retained versions, and a named reviewer. Define the accepted internal note before deciding how collection or drafting should run.
