# AI System Ownership and Transfer Checklist.

The vendor sends a repository and a recorded walkthrough. The buyer still does not own the cloud account, cannot rotate an API key, and cannot restore service after a failed deployment.

Files were delivered. Operational control was not.

An AI system belongs to the buyer when named business owners can access its accounts, inspect its decision rules, change it, test it, stop it, restore it, and run it without the outgoing vendor.

## Delivery is not ownership

A ZIP file, repository invitation, or video can support handoff. None proves the buyer can operate the system.

The transfer needs evidence across code, accounts, data, models, prompts, credentials, domains, deployment, monitoring, costs, approvals, tests, and recovery. It also needs the exception history that explains why current rules exist.

The buyer should perform those tests. A vendor demonstration proves the vendor can operate the system.

## Inventory the complete system

List every component needed to produce the business result:

- source repositories and branches;
- runtime and cloud accounts;
- databases, object stores, and vector indexes;
- model providers and billing accounts;
- prompts, task briefs, schemas, and evaluation fixtures;
- domains, DNS, certificates, and webhooks;
- secrets and the manager that stores them;
- scheduled jobs and queue workers;
- approval, audit, and notification systems;
- monitoring, logs, backups, and recovery copies;
- vendor dependencies, licenses, and monthly costs.

Record the business owner, administrative account, renewal date, export method, and evidence link for each. Do not place secret values in the register.

Use `pending`, `pass`, `fail`, and `not_applicable` consistently. A blank row hides whether anyone tested the item.

Your register turns those categories into named evidence.

## Move administrator control to the buyer

The buyer should own the primary organization and billing relationship where the provider supports it.

Use named business identities, not a departing vendor's personal email. Give each person the least privilege needed. Record emergency access and recovery contacts.

Test access by signing in through the buyer-controlled identity and opening the actual settings. Do not accept a screenshot from the vendor as proof of current authority.

When an account cannot be transferred, record the constraint and migration decision. A contract statement that the buyer owns the output does not create administrative access to a provider account.

## Transfer the decision layer

Code and credentials are not the whole system.

The buyer needs the task briefs, source order, approval matrix, stopping rules, output schemas, correction history, known exceptions, and acceptance tests. These records explain how the workflow should behave when the happy path breaks.

Preserve why a rule changed. A current prompt without correction history may reintroduce the failure during the next rewrite.

## Preserve tests, failures, costs, and monitoring

Transfer the fixtures that prove normal operation and the cases that previously failed.

The buyer should receive:

- a small repeatable smoke test;
- accepted examples and prohibited outcomes;
- known defects and workarounds;
- retry and duplicate-action tests;
- current provider and infrastructure costs;
- usage thresholds and alert destinations;
- incident and rollback runbooks;
- receipts from the last accepted run.

Do not delete failure records to make the handoff look clean. Known limitations are operating information.

## Make the buyer deploy one controlled change

Choose a reversible rule that produces a visible result. For example, change a test-only report label or a synthetic routing value.

The buyer should:

1. edit the rule in the canonical source;
2. run the local or staging tests;
3. review the diff;
4. deploy through the documented path;
5. observe the changed result;
6. write the deployment receipt;
7. restore the prior version;
8. confirm the original result returns.

The outgoing vendor may observe but should not type the commands or hold the only credential. Fail the test if the buyer needs an undocumented vendor step.

## Stop, restore, and recover the system

Ownership includes the ability to stop consequence.

Test the documented off switch without deleting data. Confirm scheduled jobs stop, inbound queues remain understood, and external actions cannot continue through another worker.

Then test restoration from the approved recovery source. Read back the live version and run the smoke fixture.

The transfer test should turn those responsibilities into actions a named owner can perform.

## Rotate one credential

Choose a non-destructive credential in the transfer plan.

The buyer creates the replacement, updates the approved secret store, restarts or redeploys the dependent service, runs the smoke test, revokes the old credential, and records the result.

Do not print the secret in the receipt. Record the provider, key identifier, affected service, rotation time, tester, and verification result.

If rotation breaks the system, the runbook was incomplete or an undocumented copy exists.

## Run without the outgoing vendor

Schedule an independent operating period. One week fits many recurring systems, but the period should include at least one real cycle and one controlled exception.

The buyer handles the run, reviews alerts, accepts the output, and resolves ordinary questions through the documentation. The vendor can receive a bounded escalation, but each escalation becomes a missing handoff item.

Do not close transfer while critical actions still depend on vendor memory.

## Test the ownership claim

Use this final list:

1. Buyer-controlled identities can administer every transferable account.
2. The register names every exception that cannot transfer.
3. A fresh clone or export passes the documented setup test.
4. The buyer changes and deploys one rule.
5. The buyer observes and rolls back that change.
6. The buyer rotates one credential.
7. The stop control prevents new external effects.
8. Recovery restores an accepted version.
9. Monitoring reaches a buyer-controlled destination.
10. The system completes one cycle without vendor operation.
11. The buyer can locate decision rules and known failures.
12. Final acceptance records open blockers and owner signatures.

## Approval and stopping boundary

The transfer agent may inventory artifacts, verify read-only access, prepare the evidence register, run local tests, and draft change, rollback, and credential-rotation plans.

It stops before changing production, transferring billing, rotating a live secret, revoking vendor access, disabling a job, or signing acceptance. Each action requires the named buyer owner and a reviewed recovery path.

The transfer also stops when an account owner is unresolved, evidence is vendor-only, a restore has not been tested, or an open blocker can prevent the business result. Mark the item `fail` or `pending`; do not convert it to narrative reassurance.

### What should a built automation come with at handoff?

Transfer the code, accounts, data, prompts, credentials, domains, deployment configuration, monitoring, costs, approvals, tests, recovery material, and exception history. Record each item in an ownership register with its owner, location, access proof, transfer status, and verification result.

### Should credentials transfer to the client at handoff?

Administrator control should move to buyer-controlled identities, followed by rotation of at least one credential and an independent run. A password list alone is insufficient if the vendor still owns the account, recovery address, domain, deployment path, or secret store.

### How resilient would your service be if the vendor were to cease operating?

Test whether the buyer can inspect the system, change and deploy one rule, stop it, restore it, rotate a credential, and run it without the outgoing vendor. Record non-transferable dependencies and fail the ownership claim when a missing vendor account or service prevents the independent run.
