# Real estate transactions: A deal file AI can track.

You keep one deal file so AI tracks real estate agents' transaction deadlines, repairs, and closing steps from the signed documents.

Without a deal file, the assistant starts the next transaction without those facts. You explain the contingency periods, the lender requirements, and your closing procedure again. Each deal starts from zero.

Transaction memory is a set of files that hold your standards and each deal's facts. The assistant reads them before each task. The property, parties, lender, and dates below are a fictional example.

## Know what a transaction depends on

A real estate transaction follows documented procedures. They include agreement templates with standard clauses, due diligence checklists by property type, and lender documentation requirements. They also include title company preferences, inspection steps, and a closing sequence.

Each deal adds its own facts:

- **Property:** age, condition, zoning, and HOA status.
- **Buyer financing:** conventional, FHA, VA, or cash.
- **Seller situation:** occupied, vacant, estate sale, or corporate relocation.
- **Market conditions:** these affect the negotiation approach and the contingency terms.

A deal runs for weeks. A chat session lasts one conversation. Each time you close the chat, the deal's context goes with it.

## Set up three kinds of file

| File | Holds |
|---|---|
| `standards/transactions.md` | Agreement templates by property type, standard contingency periods in your market, the usual contract-to-close timeline, required disclosures by state and property type, your negotiation approach, walkthrough and closing procedures |
| `lenders/<lender>.md` | Documentation checklist, appraisal timing, underwriting time, common conditions and how to satisfy them |
| `deals/<address>.md` | Property details, buyer financing and constraints, seller situation, contract date, each contingency deadline, the closing date, and a log of offers, findings, and agreements |

## Draft the offer from your standards

A buyer wants to offer on [property address]. The buyer is preapproved for a conventional loan and must sell a current home first, so the offer needs a home sale contingency. The house was built in 1975. Federal law requires a lead-based paint disclosure for most housing built before 1978, so this deal needs one.

You create `deals/property-id.md` with these facts. You ask: "Draft an offer for [property address] below list price, with a home sale contingency."

The assistant reads your standards file. In this example market, the standard periods are 14 days for inspection, 21 days for financing, and 45 days for a home sale contingency. The file also names the brokerage's earnest money language and its usual title company.

The draft uses your brokerage's approved form. It includes the three contingencies with standard periods and references the lead-based paint disclosure. It uses your earnest money terms and fills the property address and legal description. It marks blanks for what you add: buyer names, the offer price, and the closing date after negotiation.

Use the forms your state and brokerage approve. The assistant fills and checks them; it does not write new contract language. Your broker or an attorney reviews anything outside the approved forms.

## Track contingency deadlines from the contract date

The offer is accepted and the contract is signed. The deal file now records the contract date and the deadlines calculated from it: inspection in 14 days, financing in 21, home sale in 45. As you schedule the inspection, the appraisal, and the showings on the buyer's current home, you log each step.

Seven days in, you ask: "What deadlines are coming up for [property address]?" The assistant reads the deal file and returns:

| Financing | 14 | Lender receives the appraisal and issues the loan commitment before the deadline |

It then lists actions: confirm the inspection appointment, ask the lender about the appraisal, and check showing activity with the buyer's listing agent. The actions are specific because the deadlines are in the file.

## Draft the repair request from the findings

The inspector reports four findings. The roof shows wear, with 3 to 5 years of life left. The HVAC system is 18 years old, works, and is inefficient. A small plumbing leak sits under the kitchen sink. Several deck boards show rot. You log the findings and the contractor estimates in the deal file.

You ask: "Draft a repair request for the [property address] inspection issues." Your standards file states the negotiation approach:

- Request repair of major items: here, the roof and the deck.
- Offer to handle minor items: here, the plumbing leak.
- Do not request replacement of a working system: here, the HVAC.
- Attach cost estimates to each request.
- Keep the tone firm and reasonable.

The draft follows that order. It requests the roof and deck work with estimates. It notes the leak as minor, for the buyer to fix. It records the HVAC age for disclosure but makes no request. It asks for the repairs or a credit, at the seller's option.

The seller answers: the seller will repair the deck and give a credit toward the roof. The roof work is the buyer's choice after closing. You log the outcome and the credit amount in the deal file. Every later document that touches repairs reads that entry.

## Build the lender checklist from the lender file

The buyer's loan is with Lender A, whose requirements are in `lenders/lender-a.md` from earlier deals. Lender A needs the purchase agreement, a homeowners insurance quote, HOA documents where they apply, and proof of the earnest money deposit. It orders the appraisal within 3 days of the contract. Underwriting takes 7 to 10 days after the appraisal arrives. It issues the loan commitment 14 days before closing when all conditions are met.

You ask: "What does Lender A need for the [property address] loan?" The assistant compares the lender file with the deal file:

- Purchase agreement: provided.
- Insurance quote: the buyer must get one.
- HOA documents: not applicable; the property has no HOA.
- Earnest money proof: send the deposit receipt to the lender.
- Appraisal: the lender orders it; it should be ordered by now. Arrange property access with the seller.

It then drafts a checklist for the buyer. The buyer gets the insurance quote to the lender by the end of the week and forwards the earnest money receipt. For another lender, the assistant reads that lender's file instead. You do not have to remember which lender wants what.

## Generate the final walkthrough checklist

The loan commitment is in, title is clear, and closing is set for March 15. Your standards file puts the final walkthrough 24 hours before closing. It lists the standard checks: condition unchanged, agreed repairs done, property vacant and clean.

You ask: "Generate the final walkthrough checklist for [property address]." The assistant adds the deal's own items to the standard ones:

1. Verify the deck repairs are done, per the repair agreement dated [date].
2. Confirm the roof credit appears on the closing statement at the agreed amount.
3. Check the appliances the contract includes: refrigerator, washer, dryer.
4. Test that each included appliance works.
5. Inspect for new damage since the last visit.
6. Confirm the property is broom-clean, per the contract.
7. Confirm the seller has removed all belongings.
8. Confirm the seller scheduled utility disconnection for after closing, and the buyer arranged connection.

The standard items come from your template. The deck, the credit, and the appliance list come from the deal file.

## Sequence the closing tasks

Closing needs coordination in order. The title company needs final numbers for the closing disclosure. The buyer needs to arrange funds by the method the title company requires. The seller needs ID, keys, garage remotes, and HOA documents where they apply. Everyone needs a signing time.

Your standards file sets the procedure. Three days before closing, confirm the final numbers with the title company. Then tell the buyer the exact funds needed, remind the seller what to bring, and confirm signing times.

You ask: "What needs to happen for the [property address] closing on March 15?" The assistant returns a dated plan:

- **March 12:** get the final closing disclosure from the title company; check every figure, including the roof credit. Tell the buyer the exact amount due.
- **March 14:** remind the buyer to arrange the funds for the morning of March 15. Remind the seller to bring photo ID, all keys, garage door openers, and the security system code. The deal file notes that the house has a security system.
- **March 15:** confirm signing times with the title company; meet the buyer for the walkthrough in the morning.

The roof credit appears because the deal file records it. The security code appears because the property notes mention the system.

Wire fraud targets real estate closings. The assistant never writes, forwards, or changes wire instructions. The buyer confirms wire instructions by phone with the title company, at a number from a trusted source, not from an email.

## Run the setup

The setup has three parts:

1. An AI assistant configured to read files in your project folder.
2. A folder, for example an Obsidian vault, with the standards, lender, and deal files.
3. A `context.md` file that tells the assistant where each record lives.

No MLS integration or transaction management software is required. The files sync through your normal cloud storage. Update each deal file as the deal moves. The context then survives across the whole transaction: open a session on contract day, close it, and open another two weeks later for the inspection. The assistant reads the same deal file.

## Protect the client and keep signatures with people

Deal files hold buyer finances, seller circumstances, and negotiation positions. Keep what the task needs and nothing more.
